  • Prepare and Negotiate Agreements:

    • Confidentiality Agreements
      Confidentiality Agreements are contracts that facilitate discussions between two entities involving information not in the public domain such as intellectual property and/or business affairs of an institution which limit the ability of the other institution in disclosing the confidential information. The Technology Transfer Office prepares, negotiates and finalizes all outgoing and incoming confidentiality agreements for OMRF.

    • Consulting Agreements
      A consulting agreement is designed for an independent contractor to provide services in their expertise for a specified period of time. The Technology Transfer Office reviews the agreement to ensure that the agreement does not conflict with OMRF policies.  However, as this is an independent contract, the Technology Transfer Office recommends that an investigator consult with independent counsel to review and finalize the agreement.

    • Collaboration Agreements
      A collaboration agreement is a contract between two institutions or companies and addresses the nature of discussion or research, confidential information, and obligations. The Technology Transfer Office negotiates and finalizes all collaboration agreements for OMRF employees.

    • Research Agreements
      A Research Agreement is a contract that facilitates research and collaboration between two entities for a specific period of time. It addresses the nature of the collaboration, support, and intellectual property rights should any inventions come into fruition.

    • Option Agreements
      An Option Agreement is a contract between two or more entities that outlines terms for a specific review or trial period for a technology and related business after which the entities may choose to enter into a long-term contractual agreement.

    • Supply/Sales Agreements

    • Inter-Institutional Agreements
      An Inter-Institutional Agreement is a contract between two or more institutions that address the obligations, intellectual property rights, and revenue sharing associated with research collaborations and/or shared interest or rights to inventions. The Technology Transfer Office prepares, negotiates, finalizes and manages inter-institutional agreements for OMRF.

    • Material Transfer Agreements
      Material Transfer Agreements are contracts that facilitate the transfer of research materials between two or more entities (i.e. Academic Institutions, Research Institutions, or Companies). The agreement specifically addresses issues of intellectual property, liabilities and warranties associated with the transfer and use of the materials. The Technology Transfer Office will prepare all material transfer agreements for research materials that are requested by other institutions as well as negotiate and finalize Material Transfer Agreements for materials OMRF employees wish to obtain.
